Romanita Ivan is a partner of Gutium si Asociatii SCA. She is a qualified lawyer registered with the Romanian Bar Association and the Bucharest Bar.
Romanita has extensive experience in all aspects of Romanian commercial law.
She commenced her legal career as a judge. Her practice encompasses corporate and commercial law,
privatization and post privatization matters, infrastructure projects, joint ventures, financing, mergers and acquisitions, regulatory issues and real estate.
Romanita has an excellent track-record in privatisation, serving as head of office within the legal department of the State Ownership Fund (at the present A.V.A.S),
coordinating key privatisation projects in Romania at the time (until July 2002).
Romanita is a recognized specialist in Romania in Corporate & Finance (European Legal Experts, Legal Business, 2004 and 2005 Editions).
Experience:
- BancPost: advised the Romanian Government,
including assistance on the drafting of relevant documents such as tender and sale documentation and advice in relation to confidential
offering memorandum for qualified bidders as a member of the privatisation commission;
- Arctic SA Gaesti acquired by Societe generale and European Bank for Reconstruction and Development: acted as head of legal
team of the Romanian State Ownership Fund in respect of the sale/purchase of state ownership interests, including drafting the sale purchase agreement;
- I.M.G.B. acquired by Kvaerner: acted as head of legal team of the Romanian State Ownership Fund in respect of the
sale/purchase of state ownership interests, including drafting the transaction documentation;
- Petrotel Ploiesti acquired by Lukoil: acted as head of legal team of the Romanian State Ownership Fund in respect of the
sale/purchase of state ownership interests, including drafting the transaction documentation;
- Casial Deva acquired by Holderbank: acted as head of legal team of the Romanian State Ownership Fund in respect of the
sale/purchase of state ownership interests, including drafting the transaction documentation;

Co-ordinated large and complex projects:
- Office of State Ownership in Industry: advised Ministry of Industry and Resources on negotiations with representatives of
Credit Suisse First Boston and ING regarding the consultancy agreement related to privatisation of the largest oil company in Romania, PETROM SA;
- Office of State Ownership in Industry: advised Ministry of Industry and Resources on negotiations with representatives of
Credit Suisse First Boston and RAEF regarding the consultancy agreement related to privatisation of the largest gas companies in
Romania, DISTRIGAZ NORD, DISTRIGAZ SUD and ROMGAZ;
- Petromidia acquired by Rompetrol: acted as member of legal team of the Romanian State Ownership Fund in respect of the
sale/purchase of state ownership interests, including drafting the transaction documentation;
- Sidex: acquired by ISPAT LNM as member of legal team advising the Romanian Government (i.e Authority for Privatisation and Management of State Ownership)
on the privatisation of the biggest Romanian enterprise.
